A Code is a set of rules, principles, values and expectations of employees that an organisation considers important and essential to its success. "Code of Ethics and Business Conduct" is a popular title, but other companies call it e.g. "Code of Business Ethics", "Code of Ethical Business Conduct" or "Code of Ethics". No matter what an organisation calls it, the Code is a guide to fair behaviour and an aid to ethical decision-making in an organisation. The Code is also a communication tool to inform internal and external stakeholders about the values of the organisation, its employees and management.

Our commitment to ethical behaviour and a solid ethical foundation are the FBO (fektessbeokosan.hu) are one of the most important elements of its functioning. We are committed to conducting business in a fair and ethical manner, based on a culture of fairness and compliance.

2. INTRODUCTION

This is the FBO (fektessbeokosan.hu) CODE OF ETHICS AND BUSINESS CONDUCT, which sets out our ethical commitment and guides all stakeholders on how to conduct business properly. We, the FBO (fektessbeokosan.hu)-we are committed to conducting business in a lawful, ethical and transparent manner.

This document is valid for all staff working in the FBO (fektessbeokosan.hu) work for (including officers, directors, managers, executives, employees, temporary, agency, trainee, subcontractor and consultant workers) and the organisations with whom we do business.
From FBO (fektessbeokosan.hu) expects staff to be impartial and honest in all matters relating to their work. It is the responsibility of all staff to act in general good faith and not to do anything that would undermine the trust and confidence necessary for a working relationship.

The success of our business is based on the trust we earn from our employees, customers and investors. We gain credibility by sticking to our commitment to fairness and by pursuing our goals in an ethical manner. All staff are expected to adhere to this Code in both their professional and personal conduct and to treat everyone with respect, honesty and integrity.

From FBO (fektessbeokosan.hu) is constantly open to all questions, and will not tolerate any punishment or retaliation against anyone who in good faith reports inappropriate behaviour.

Senior officers and managers have a special responsibility to demonstrate the importance of this Code through their conduct. In addition, officers and directors are responsible for addressing any ethical issues or concerns that arise in a timely manner. Employees have a duty to cooperate in any investigation of possible or alleged ethical misconduct.

Conduct that does not comply with the Code may be considered as misconduct that could lead to disciplinary action (adverse legal action) and, in deserving cases, termination of employment.

We are committed to efforts to apply our values and standards to the entire supply chain of our suppliers, subcontractors, service providers and partners.

4. ETHICAL DECISION-MAKING

Ethical behaviour means value-driven decision-making. A few key questions can help you identify an unethical, inappropriate or illegal situation. Ask yourself:

  2. We will respect all our valid contractual obligations and will not abuse our rights.
  3. Our staff must always comply with all laws and regulations, including the Code, and ensure that they operate in accordance with it.

7. HUMAN RIGHTS

  1. We are committed to respecting the dignity and human rights of all people and communities with whom we come into contact in the course of our work. We do not cause or contribute to human rights violations in any form. Our staff are committed to treating everyone with dignity, respect and care and to upholding their human rights.

8. FAIR EMPLOYMENT AND WORKING CONDITIONS

  1. We are committed to promoting equality in the workplace and to achieving legal and fair employment and remuneration practices. We strongly oppose the use of child, slave or any form of forced, compulsory or bonded labour, both direct and indirect. We condemn all forms of unlawful, unfair or unethical employment that exploits the workforce, destroys the social security system or is used for tax evasion, such as undeclared or 'grey' work or withholding of wages.
  2. Our staff must behave fairly and treat their colleagues and others with full respect.

9. DISCRIMINATION AND HARASSMENT

  1. We ensure equal opportunities in employment and do not tolerate any form of discrimination, harassment or rude treatment. Direct or indirect discrimination on the basis of any professionally irrelevant characteristic or circumstance, such as sex, marital status, age, national or social or ethnic origin, colour, religious or political opinion, disability, sexual orientation, membership of an interest group, property, birth or other status is not permitted. Any discriminatory behaviour, harassment, intimidation or bullying is prohibited.
  2. All staff are expected to adhere to the highest standards of mutually respectful behaviour in all their verbal and written communications and to refrain from harassment, defamation or any behaviour that others may consider violent, intimidating, humiliating or offensive.

10. HEALTH, SAFETY AND ENVIRONMENT

  1. We provide a clean, safe and healthy working environment and are committed to maintaining a healthy environment. We aim to minimise the impact of our activities on the natural environment. We make efforts to reduce the use of finite resources such as energy and water, and the emission of harmful substances such as waste.
  2. All staff must at all times comply with all relevant health, safety and environmental legislation, rules and regulations.

11. FAIR COMPETITION AND BUSINESS CONDUCT

  1. Our cooperation with our partners is based on trust and mutual benefits in line with competition law. We are committed to ethical and fair competition, as we sell our products and services on the basis of quality, suitability and competitive prices. We make our own pricing and sales decisions and do not collude or coordinate our operations with competitors in any prohibited manner. We refrain from conduct that harms competition or the reputation or credibility of our partners or competitors.
  2. We do not offer or solicit illegal payments or favours, or engage in illegal agreements to exclude certain customers. We are committed to complying with all applicable trade regulations, restrictions, sanctions and import-export embargoes.
  3. We do not allow behaviour that violates fair competition in tenders and tendering procedures.
  4. We will not withhold payments to our partners in bad faith, illegally or unjustifiably, and we will not allow such practices in our supply chain, fighting against the unethical practice of "chain payments".
  5. Our staff are responsible for ensuring fair business practices in their work and for complying with all competition, consumer protection and advertising rules. In all cases, customers and business partners must be treated fairly and equally, products and services must be presented fairly and accurately (fair marketing and advertising) and all relevant information must be shared.

12. ANTI-CORRUPTION

  1. We strongly condemn and will not tolerate corruption in any form. It is prohibited to offer, promise, give, give, solicit or accept, directly or indirectly, any unfair advantage or benefit for any commercial purpose. An unfair advantage or benefit may be money, cash substitutes (e.g. vouchers), gifts, credit lines, discounts, travel, personal benefits, accommodation or services. In order to ensure or expedite due process, we do not allow kickbacks (or "bribes") to be given to officials or employees of economic operators. Corruption also includes influence peddling, where someone gives the impression that he or she is influencing a decision-maker unfairly.

Our staff must be able to account for any benefits gained in the course of doing business and are prohibited from giving or accepting bribes of any kind or behaving in any other corrupt manner.

13. GIFTS AND HOSPITALITY

  1. Any behaviour that could give the impression that we seek, receive or give preferential treatment in exchange for personal benefits should be avoided.
  2. Business courtesies or favours can be gifts, favours, meals, drinks, entertainment or other benefits from a person or company with whom we do or may do business. We will not give or accept anything that constitutes, or reasonably appears to constitute, an unfair business inducement, or that violates any law, regulation or principle, or otherwise creates an embarrassing/uncomfortable situation. Our staff should never use personal resources for anything that could not be done with company resources.
  3. Occasional gifts or hospitality that are customary and in accordance with reasonable market ethics may be offered and accepted if they are not excessive, frequent or frequent and do not give the impression that they are intended to influence business decisions. Only low-value, insignificant gifts should be accepted. All other gifts should be politely declined or, if received by mail, returned. If return is not possible, it should be donated to charity or community causes. It is the responsibility of the giver or the person receiving the gift to consider whether a gift is appropriate.

14. PROPER USE OF PROPERTY PROTECTION AND COMPANY EQUIPMENT

  1. We are responsible for the safety, security and economic use of company resources. Our resources, such as time, materials, equipment and information, may only be used for legitimate business purposes. Occasional private use is permitted, provided it is not unlawful and does not interfere with performance or degrade morale.
  2. All staff must observe security measures and treat both tangible and intangible company assets with respect, not misuse or neglect them.

15. CONFIDENTIALITY, INFORMATION SECURITY, PROTECTION OF TRADE SECRETS AND INTELLECTUAL PROPERTY

  1. We are committed to ensuring the integrity, confidentiality and availability of business information, and therefore we have appropriate technical security arrangements in place, which all staff are responsible for maintaining. Trade secrets include any information that has not yet been disclosed and that would be harmful to the company or its customers or business partners if it were to become available to unauthorised persons. All staff are required to keep such information confidential. This includes that no person shall trade in a security while in possession of non-public information that could affect the price of the security or share such information with others. All information security rules must always be observed.
  2. We respect the intellectual property of others. We will not obtain or seek to obtain trade secrets or other proprietary or confidential information by improper means. We will not engage in unauthorized use, copying, distribution or modification of protected intellectual property.

16. FINANCIAL INTEGRITY

  1. We keep and prepare our books, records, accounts and financial reports in sufficient detail, accurately and fairly to reflect our transactions. We deplore all forms of money laundering and are committed to doing business only with partners who are conducting legitimate business from legitimate sources.
  2. We are committed to fair taxation and refrain from any tax avoidance practices, such as failure to provide receipts or invoices or false municipal accounts.
  3. All staff are required to follow all accounting procedures and to ensure that financial events are properly recorded and documented, and that the financial statements they communicate are complete, honest, accurate, timely and understandable. Unfair influence, manipulation or misrepresentation of the audit or any accounting control is prohibited.

17. FRAUD PREVENTION

  1. Fraud or fraudulent behaviour - i.e. cheating, stealing, deceiving or lying - is unethical and in most cases punishable. All forms of fraud (including, for example, false accounting, falsification or alteration of certificates or financial documents, misuse or misappropriation of company assets, false entries in financial or non-financial records or reports) are prohibited.

18. CONFLICT OF INTEREST

  1. Our decisions must be based on objective and fair assessment and avoid any possibility of unfair influence. A "conflict of interest" may arise when an employee's personal interest (which may be related to, for example, a relationship with friends or family, a customer, a competitor, a supplier or a subcontractor) conflicts or has the potential to conflict with RoyalSports' interests. Determining whether a conflict of interest exists is often not easy and anyone with a conflict of interest should consult with management.
  2. Conflicts of interest can arise from situations such as:
  • Employment (own second job or employment of a family member) or economic relationship with an existing or potential customer, competitor, supplier or subcontractor.
  • Employing or supervising family members or closely related persons.
  • Membership of the board of directors or other bodies of another company or other organisation.
  • A significant investment or interest in the business of a customer, competitor, supplier or subcontractor.
  • A personal interest, benefit or potential personal benefit in connection with a corporate transaction.
  1. If employees have personal contact with each other, it is the responsibility of the senior employee to bring this to the attention of his or her manager and to ensure that there is no conflict of interest.
